By visiting our site and/or purchasing a product or subscription from us, you engage in our "Service" and agree to be bound by these Terms of Service ("Terms"), including any additional terms, conditions, and policies referenced herein or available by hyperlink, including our Privacy Policy, Shipping Policy, and Refund Policy.

Chialove™ currently offers a single food product marketed under the Chialove™ brand, including related subscription offerings and future product variations.

We strive to ensure that product descriptions, images, ingredient information, and nutritional information are accurate. However, we do not warrant that all information is error-free, complete, or current at all times.

Product appearance, texture, color, taste, and aroma may vary slightly from batch to batch due to the natural characteristics of food ingredients.

We reserve the right to discontinue, modify, or limit the availability of any product at any time without notice.

SECTION 5 – FOOD SAFETY AND ALLERGEN NOTICE

Consumers are responsible for reviewing all ingredient and allergen information prior to consuming any Chialove™ product.

While we maintain quality and food safety standards, individuals with food allergies, sensitivities, or medical conditions should carefully review product labels and consult a healthcare professional before consumption.

Chialove™ shall not be liable for allergic reactions, sensitivities, or adverse events resulting from failure to review product ingredients or follow product instructions.

SECTION 6 – PRICING AND BILLING

All prices displayed on the website are in U.S. Dollars (USD) unless otherwise indicated.

Prices are subject to change without notice.

We reserve the right to refuse, limit, or cancel any order at our sole discretion, including orders that appear fraudulent, abusive, or intended for resale.

You agree to provide current, complete, and accurate billing and account information for all purchases made through the website.

SECTION 7 – SUBSCRIBE & SAVE PROGRAM

Certain products may be offered through our Subscribe & Save program.

By enrolling in a subscription, you authorize Chialove™ to charge your selected payment method automatically at the recurring frequency selected during checkout until the subscription is canceled.

Customers may cancel, pause, skip, modify, or manage their subscription at any time through their account portal or by contacting customer support.

Changes made after a recurring order has been processed may not apply until the next billing cycle.

We reserve the right to modify, suspend, or discontinue the Subscribe & Save program at any time.

Notice regarding automatic renewal:
By purchasing a subscription, you acknowledge that your subscription will automatically renew and that your payment method will be charged unless you cancel prior to the next renewal date.

 

SECTION 8 – SHIPPING

Chialove™ currently ships only within the contiguous United States (the 48 continental states).

We do not currently ship to Alaska, Hawaii, Puerto Rico, U.S. territories, or international destinations.

Orders are generally processed within one to two business days. Estimated delivery times are provided for convenience only and are not guaranteed.

Free standard shipping is available on qualifying orders as indicated on the website. Shipping rates and eligibility thresholds may change at any time without notice.

Once an order has been transferred to the carrier, the risk of loss and title passes to the customer. Chialove™ is not responsible for carrier delays, lost packages, stolen packages, weather-related disruptions, or delivery issues outside of our control, although we will make reasonable efforts to assist customers when possible.

SECTION 9 – REFUND POLICY

Due to the nature of our food products, Chialove™ does not accept returns.

We stand behind the quality of our products and may, at our sole discretion, provide a replacement product, store credit, or refund on a case-by-case basis.

To request assistance regarding a product concern, customers must contact service@Chialove.com and provide:

  • A description of the issue;
  • The product lot number;
  • Photographs of the product and packaging;
  • The order number.

Requests may be denied if insufficient information is provided or if the claim cannot reasonably be evaluated.

Approved refunds will be issued to the original method of payment. Processing times may vary depending on the financial institution.

SECTION 10 – CUSTOMER REVIEWS AND USER CONTENT

The Services may allow customers to submit reviews, ratings, comments, photographs, testimonials, or other content through Okendo or other review platforms.

By submitting content, you grant Chialove™ a perpetual, irrevocable, worldwide, royalty-free license to use, reproduce, modify, publish, display, distribute, and otherwise use such content for marketing, promotional, operational, and business purposes.

You represent and warrant that:

  • You own or control all rights to the content you submit;
  • The content is accurate and truthful;
  • The content does not violate the rights of any third party;
  • The content is not defamatory, misleading, unlawful, offensive, or fraudulent.

We reserve the right, but not the obligation, to remove any content at our sole discretion.

SECTION 11 – THIRD-PARTY SERVICES AND LINKS

The Services may contain links to third-party websites, platforms, tools, applications, or services.

We are not responsible for the content, policies, practices, or availability of any third-party services.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CHIALOVE™ DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AND RELIABILITY.

WE DO NOT GUARANTEE THAT:

  • THE WEBSITE WILL BE UNINTERRUPTED;
  • THE WEBSITE WILL BE ERROR-FREE;
  • DEFECTS WILL BE CORRECTED;
  • THE SERVICES WILL MEET YOUR EXPECTATIONS.

THIS INCLUDES, WITHOUT LIMITATION:

  • LOSS OF PROFITS;
  • LOSS OF REVENUE;
  • LOSS OF DATA;
  • LOSS OF GOODWILL;
  • BUSINESS INTERRUPTION;
  • COST OF SUBSTITUTE GOODS OR SERVICES.

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT PAID BY YOU FOR THE PRODUCT GIVING RISE TO THE CLAIM.

SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS OF LIABILITY. IN SUCH CASES, LIABILITY SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

SECTION 16 – INDEMNIFICATION

You agree to defend, indemnify, and hold harmless Prana Biovegan Inc., Chialove™, and their affiliates, officers, directors, employees, contractors, agents, and service providers from and against any claims, liabilities, damages, losses, costs, and expenses, including reasonable attorneys' fees, arising from:

  • Your violation of any law or third-party rights.

These Terms and any disputes arising from the Services shall be governed by and construed in accordance with the laws of the Province of Quebec and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Chialove™ reserves the right to update these Terms to include dispute resolution procedures, mandatory arbitration provisions, class action waivers, or other dispute management mechanisms to the extent permitted by applicable law.

SECTION 20 – SEVERABILITY

If any provision of these Terms is determined to be unlawful, invalid, or unenforceable, that provision shall be severed and the remaining provisions shall remain in full force and effect.

SECTION 21 – ENTIRE AGREEMENT

These Terms, together with our Privacy Policy, Shipping Policy, Refund Policy, and any other policies posted on the website, constitute the entire agreement between you and Chialove™ regarding the Services and supersede all prior communications and agreements.

We reserve the right to modify these Terms at any time.

Changes become effective immediately upon posting unless otherwise stated.
